Uniform Trade Secrets Act (UTSA)

Noncompete agreements are restrictive covenants intended to prevent former employees from taking their knowledge of trade secrets to work for a competitor. Under terms of the UTSA, it may be illegal for a worker to accept employment with another employer who would gain a financial benefit from a competitor's trade secret or intellectual property. Generally, a noncompete agreement has a definite timeline for expiration. If a trade secret is vital to the financial interests of the former employer, however, it may be for an indefinite period of time. Before you sign, let us help you interpret the UTSA regulations that pertain to noncompete agreements.
